LexBooks: Terms of Service
Version 2026-10-29. These terms apply to every firm that uses LexBooks, during the free trial and on the paid plan.
1. Who the parties are
- We are RINDOGATAN LLC, a Wyoming limited liability company, the operator of LexBooks, a TODO.LAW product (“LexBooks”, “we”, “us”). We issue every invoice and receipt for LexBooks, through our payment provider.
- You are the law firm or legal professional named when the account was opened (“the Firm”), acting through the person who accepts these terms. That person confirms they have authority to bind the Firm.
- Who may use LexBooks. LexBooks is offered to attorneys admitted in California and their firms. When the account is opened, the Firm's administrator gives their California bar number, and we check it against the State Bar's public records within one working day; the attorney must be shown there as active. Until we have confirmed it, the Firm can use LexBooks with its own data but cannot send anything to clients through it (proposals, engagement letters, invoices, client portal invitations or payment links). If we cannot confirm the number, we tell you, and you can write to us at support@lexbooks.app; we may close the account after 14 days' notice, with export available in the meantime.
- Your users are the people you invite into your LexBooks workspace.
- Your clients are the people whose matters you record in LexBooks. They are not parties to these terms.
2. What LexBooks is
LexBooks is a practice management service for law firms: matters, contacts, time, invoices, proposals and e-signature, documents, a client portal, and optional AI features. It is delivered over the internet from infrastructure we rent from the sub-processors listed in the Data Processing Agreement.
LexBooks is a tool. It does not give legal advice and does not replace your professional judgment. Anything the optional AI features produce is a draft for a lawyer to review.
3. Your data, and your clients' data
- You may store real client data. You decide what goes in. You are the controller of the personal data in your workspace; we process it for you only, under the Data Processing Agreement, which forms part of these terms.
- It stays yours. We claim no ownership of anything you or your users put into LexBooks. You grant us only the rights we need to host, process and display it to provide the service to you.
- Confidentiality. We treat everything in your workspace as confidential. Our staff reach it only to provide or support the service at your request, to keep it secure, or when the law requires, and each access is limited to what that purpose needs.
- No training. We do not use your data, or anything derived from it, to train or improve any AI model, ours or anyone else's. Where you switch on an AI feature, we route it only to a provider whose terms do not allow it to keep your data or train on it (see the Data Processing Agreement, sub-processors).
- Separation between firms. Each firm's data is kept apart from every other firm's by rules in the database itself, tested on every change we make.
4. Our commitments
- Backups. Our database host keeps daily backups of the database for at least 7 days. In addition we make our own encrypted copy of the database each night and keep it outside the host. We test restoring the database from our backups at least once every three months and keep a record of each test. Uploaded documents and firm logos are stored with our database host and are not yet included in any backup; keep your own copy of any file you cannot lose.
- Security. We encrypt data in transit and at rest, and we give each firm's users individual accounts.
- Two-step sign-in. Every user can protect their account with a second step: after the password, a six-digit code from an authenticator app on their phone. Your firm's administrators must use it. For everyone else, your administrator decides whether it is optional, required, or required from a date the administrator chooses. Until the second step is complete, the service shows none of your firm's data, and this is enforced by the database itself, not only by the screens. Your clients' portal and proposal links are not affected. If a user loses their phone: they can sign in once with one of the two recovery codes they were given when they set up the app, and must then set up a new app; or an administrator of your firm can reset their second step, which is recorded in your firm's audit log with who did it, for whom and why. We do not reset it for you and we keep no other way around it, because such a route would itself be a way into your account. A firm with a single administrator depends on that administrator's recovery codes, and should keep them safe and apart from the phone.
- Breach notice. If we become aware of a breach of security that affects your data, we tell you without undue delay and in any case within 72 hours of becoming aware of it, with what we know then, and we keep you informed as we learn more. This supports your own duties to notify authorities and clients, which stay yours.
- Availability. We aim to keep LexBooks available 99.5% of each calendar month, excluding maintenance we announce in advance. This is a target, not a guarantee, and no service credits apply.
- Support. By e-mail at support@lexbooks.app, answered within 2 working days. Security reports go to security@lexbooks.app.
- Changes to the service. We may improve LexBooks. We will not remove a feature you rely on without 60 days' notice and a way to export what it holds.
5. Your commitments
- Keep your users' credentials to themselves and tell us promptly of any suspected misuse.
- Invite only people you are entitled to give access to, and remove them when they leave.
- Have a lawful basis, and give the notices your professional and data protection rules require, for the client data you put in.
- Do not use LexBooks to break the law or to attack the service or other firms.
- Review any AI output before relying on it or sending it to a client.
- You are responsible for your users' use of LexBooks as if it were your own.
6. Fees
- Free trial. A new firm may use LexBooks free for 30 days from the day the account is opened. No card is needed. We remind you by e-mail 7 days, 3 days and 1 day before the trial ends. At the end of the trial nothing is charged: the workspace becomes read-only (everything stays readable and exportable, and nothing new can be created) until an administrator subscribes on the Plan page. A firm may subscribe at any time during the trial. One trial per California bar number and per e-mail address. These terms, including the Data Processing Agreement, apply in full during the trial, real client data included.
- One plan. LexBooks has one plan for every firm, with unlimited users. The price is the one shown on the Plan page and on the checkout page, per firm per month, billed monthly in advance by card through our payment provider (Stripe) on its own secure page. We never see or store your card. Prices exclude sales, use, value added and similar taxes. Where the law requires us to collect such a tax, we work it out from the billing address you give at checkout, and it is added and shown on the checkout page and on the invoice. Promotion codes. A code that we, or an association we work with, give you reduces the price by the amount and for the period stated with the code, and cannot be combined with another code.
- Invoices. RINDOGATAN LLC issues an invoice or receipt for every payment, through Stripe. You can see and download them from the billing page.
- Price changes. We give 60 days' notice of any price change, and you may leave before it applies.
- A payment that fails. We tell you, and you have 14 days to put it right (for example by updating the card). After those 14 days the workspace becomes read-only: everything stays readable and exportable, and nothing new can be created, until the payment is made. The same applies when a subscription ends: section 7 then governs export and deletion.
- No refunds for part periods. Fees paid are not refunded for a part of a month, except where these terms or the law say otherwise.
7. Term, ending, and your data at the end
- Term. Monthly, renewing automatically each month until either side ends it.
- Ending by you. At any time, from the Plan page (“Manage subscription”) or by writing to support@lexbooks.app. It takes effect at the end of the month already paid.
- Ending by us. With 30 days' notice, or at once if you seriously break these terms and do not put it right within 14 days of our notice.
- Export. At any time, including while the workspace is read-only, and for 30 days after the subscription ends, an administrator can export the workspace as a ZIP file (records in JSON, with uploaded documents). Files clients upload through the portal are not yet included; we send them on request. We help if the export does not cover something.
- Deletion. After those 30 days we delete your workspace from the live service. A workspace that is read-only because a trial ended or a payment failed is deleted after 6 months in that state, with 30 days' notice by e-mail first. Copies in our backups are deleted as the backups age out, within 37 days more at most, and are not restored in the meantime except to recover the service as a whole. We confirm deletion in writing on request.
- What survives. Confidentiality, the deletion commitment, sums owed, the limits of liability in section 8, and section 9.
8. Liability
- Cap. Each party's total liability arising out of or relating to these terms or LexBooks, whether in contract, tort (including negligence), statute or otherwise, is limited to the fees you paid or owe for LexBooks in the twelve months before the event that gave rise to the claim. This cap applies to all claims together, including claims under the Data Processing Agreement.
- Excluded losses. Neither party is liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, goodwill or business opportunity, even if told they were possible.
- What is not limited. Nothing in these terms limits or excludes liability for fraud, fraudulent misrepresentation, gross negligence or willful misconduct, your obligation to pay fees due, or any liability that the applicable law does not allow to be limited or excluded.
- Disclaimer. Except for the commitments made in these terms, LEXBOOKS IS PROVIDED “AS IS” AND “AS AVAILABLE”, AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE EXTENT THE LAW ALLOWS.
- Professional responsibility. You remain responsible for your legal work and your professional obligations, including any advice you give and anything you send to a client.
9. General
- Governing law. These terms, and any dispute or claim arising out of or relating to them or to LexBooks, are governed by the laws of the State of California, without regard to its conflict of laws rules.
- Courts. The state and federal courts located in the City and County of San Francisco, California, have exclusive jurisdiction over any such dispute or claim, and each party submits to their jurisdiction and venue.
- Changes to these terms. We give 30 days' notice by e-mail of any change. Continued use after that is acceptance, and you may leave before the change applies.
- Order of precedence. The Data Processing Agreement, then these terms, then any order form.
- Entire agreement. These terms, the Data Processing Agreement and any order form are the whole agreement between us about LexBooks and replace anything said or written before about the same subject.
- Assignment. Neither party may transfer these terms without the other's written consent, except that either party may transfer them to a successor to all or substantially all of its business or assets, with notice.
- Events beyond control. Neither party is liable for a delay or failure caused by events beyond its reasonable control, provided it tells the other and does what it reasonably can to limit the effect.
- Severability and waiver. If a part of these terms is unenforceable, the rest stays in force. Not enforcing a right is not a waiver of it.
- Independent parties. Nothing in these terms makes the parties partners, agents or joint venturers.
- Notices. We send notices to the e-mail address of the Firm's administrator. You send notices to support@lexbooks.app.
